Assistant Company Secretary
Ref: BAG/GL/6
Reporting to the Director, Legal & Human Resources & Company Secretary, the job holder will be responsible for providing legal advisory services and company secretarial support in the Group and ensure compliance with applicable legislation.
Key Responsibilities
Advising management on the interpretation, impact and effect of the relevant laws and general conditions affecting their various areas of operation
Liaison with the various regulatory agencies
Negotiating, drafting and reviewing legal documents and contracts; and advising on any issues arising from the contracts
Provide company secretarial support in the region
Assist in meetings and committees preparation and board management
Assist to ensure annual returns are filed as required by the Companies Act
Ensure compliance with Corporate Governance and Board Charter
Liaise with external lawyers on conduct of court matters.
Qualifications, Knowledge, Experience
Bachelor of Laws degree (LL.B) from a recognized University (postgraduate business degree shall be an added advantage)
A registered CPS(K)
An advocate of the High Court of Kenya holding a valid practicing certificate with at least 6 years post admission experience - 4 years of which should be in a legal corporate environment
Excellent written and verbal communication skills
Knowledge and understanding of the financial markets; and the respective laws and regulations.
